Terms and Conditions For Credit Accounts With Accu Limited

1 DEFINITIONS

In this document the following words shall have the following meanings:

1.1 "Buyer" means the organisation or person who buys Goods from the Seller;

1.2 "Goods" means the articles to be supplied to the Buyer by the Seller;

1.3 "Intellectual Property Rights" means all patents, registered and unregistered designs, copyright, trade marks, know-how and all other forms of intellectual property wherever in the world enforceable;

1.4 “List Price” means the list of prices of the Goods maintained by the Seller as amended from time to time.

1.5 "Seller" means Accu Limited, Hagg Wood Stone Quarry, Woodhead Road, Huddersfield, West Yorkshire, HD9 6PW.

2. GENERAL

2.1 Notwithstanding anything to the contrary these Terms and Conditions contain the only Terms upon which Accu Limited will provide Goods via a 30 day credit account and shall not be varied unless expressly agreed in writing, signed by a Director of Accu Limited.

2.2 These Terms and Conditions should be applied in conjunction with the general Terms and Conditions displayed on the website, accu.co.uk.

3. ELIGIBILITY CRITERIA

3.1 Credit accounts issued by Accu Limited are subject to approval. Full details of the credit account eligibility criteria can be found at accu.co.uk, or from Accu Limited’s sales team.

3.2 Satisfaction of the criteria outlined in clause 3.1 does not guarantee the agreement of credit Terms. Accu Limited reserves the right to refuse credit for any reason deemed sufficient by the Seller.

3.3 The Seller retains the right to amend the credit account eligibility criteria outlined in clause 3.1 at any point.

4. TERMS OF PAYMENT

4.1 The Seller shall issue the Buyer with credit account summary and invoice once per calendar month.

4.2 Once a credit account summary has been issued for a given month, the Buyer shall make payment within 30 days of the end of that month.

4.3 All credit accounts with Accu Limited are on 30 day payment Terms unless expressly agreed in writing, signed by a Director of Accu Limited.

4.4 If the Buyer’s credit account exceeds the credit limit or has any outstanding payments associated with it, no further orders shall be processed or dispatched until the balance has been cleared.

4.5 Any credit account orders which circumvent the account stoppage described in clause 4.4 will violate the credit Terms agreed upon, and are subject to cancellation without notice.

5. CANCELLATION

5.1 The Buyer retains the right to terminate the Buyer’s credit account payment Terms at any point, provided there is no outstanding balance. Any outstanding balance must be settled at point of cancellation. Accu Limited reserves the right to terminate credit Terms without notice.

6. FAILURE TO MAKE PAYMENT

6.1 Failure to make payment within 30 days of an issued invoice may result in the collection of overdue funds, plus any associated charges and interest, by an external debt collection agency.
